Terms of Service
Last updated 7 October 2026. These terms are the agreement between you and Onagi. They are written to be read, not to be skipped, so they are in plain English. Read them with the Risk Disclosure and the Privacy Policy, which form part of this agreement.
Two things you should know before anything else. Onagi is experimental software for trading digital assets. You can lose all of the money you trade, rewards included. Nothing on this site is advice, a recommendation or a promise of profit.
Throughout these terms the operator of the Service is referred to simply as Onagi.
1. Acceptance of these terms
By opening the site, signing in, placing an order, enabling an agent, linking the Telegram bot or otherwise using any part of the Onagi platform (the "Service"), you agree to these Terms of Service (the "Terms"). If you do not agree with any part of them, do not use the Service.
"Onagi", "we" and "us" mean Onagi, the operator of the Service, and the people operating the Service on its behalf. "You" means the person using the Service, and every wallet, account and agent acting under your control.
These Terms, the Privacy Policy and the Risk Disclosure together form the entire agreement between you and us about the Service. If you use the Service on behalf of a company or another legal person, you confirm that you are authorised to bind it, and "you" then means that entity as well.
2. Who may use Onagi
You may use the Service only if all of the following are true, at the moment you first use it and every time you use it afterwards:
- You are at least 18 years old, or older if the age of majority where you live is higher.
- You have the legal capacity to enter into a binding contract.
- You are not a restricted person: you are not named on, and not owned or controlled by a person named on, any sanctions list operated by the United States (including the OFAC list of Specially Designated Nationals), the United Nations, the European Union, the United Kingdom or any other applicable authority, and you are not acting for the benefit of such a person.
- You are not located in, ordinarily resident in, or a national of, a restricted jurisdiction as described in section 3.
- Using the Service is lawful for you where you are.
- You have not previously had an Onagi account closed by us for a breach of these Terms.
We do not perform identity verification today. That is a statement of fact, not a promise: it means the burden of confirming that you are allowed to be here sits with you, and it may change. We may introduce identity checks, source of funds checks or other compliance requirements at any time, and we may require you to complete them before you can continue to trade or withdraw.
3. Where Onagi is not offered
The Service is not offered, and must not be used, in the following places. This list can grow.
- The United States of America and its territories and possessions, and any person who is a US person, wherever located.
- Any country or region subject to comprehensive sanctions, currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions of Ukraine.
- Any other country, state or region where the Service, or any part of it, would be unlawful, would require a licence we do not hold, or is otherwise restricted by us.
Checking your own local law is your responsibility. Digital asset trading, leverage and prediction markets are treated very differently from one country to the next, and a service that is legal for your neighbour may not be legal for you. We do not give you an opinion on your local law, and the fact that the site loads in your browser is not a statement that you are allowed to use it.
You must not use a VPN, proxy, relay, false declaration or any other method to hide your location or to get around a block. Doing so is a breach of these Terms, and section 12 describes what happens then.
4. Your account, your wallet, your responsibility
You sign in with an email address, a Google account or an X account, and our authentication provider (Privy) creates an embedded wallet for you. Your wallet is the account: your money stays in it and in the venue accounts opened in its name (section 9).
- Keys are yours to protect. We never have, never ask for and never need your recovery phrase or private key. Anyone who asks for them is trying to rob you, whatever they claim to be. If you lose access to the wallet or the login you signed in with, we may be unable to restore access to your account, and you may permanently lose access to the balance in it.
- Everything done through your account is treated as done by you. That includes orders placed by hand, orders placed by an agent you enabled, and orders placed through a Telegram account you linked. Keep the login, the device and the linked accounts secure.
- Telegram linking. If you link the Telegram bot, anyone with access to that Telegram account can place orders and move funds within your account. Unlink it if you lose control of the account, and tell us.
- One person, one account. Do not create multiple accounts to obtain more rewards, to get around a limit, or to trade against yourself.
- Tell us fast. If you believe your account or wallet has been compromised, contact us at [email protected] immediately. We may be able to suspend the account, but we cannot reverse a transaction that has already settled on-chain or at a venue.
Since 18 September 2026 we do not hold your money. It stays in your own wallet, in a Lighter account and in a Polymarket wallet, each opened in your wallet's name; what we hold is a permission to trade in your name and to move money between those places at your request. To use it, our servers hold a signing permission for your embedded wallet and a trading key for your Lighter account. Apart from our trading fees, the network fee described in section 8 and Onagi's 0.5% share when you bring money in with Bring, Onagi has no feature that sends your money to any other address. A signing rule at our wallet provider (Privy), which can be changed only with a key kept off our servers, allows direct transfers out of your wallet only as USDG to the fee vault or to a list of bridge addresses; our servers maintain that list and check, before each transfer, that the bridge address belongs to your own account. The rule cannot narrow every route: a token swap through the Uniswap router, a fast withdrawal from Lighter and an order signature on Polygon are not tied to your own addresses by the rule itself, and rely on our servers' own checks. The fee vault is a contract: our servers can draw at most a daily limit from it, and only into the treasury; the rest is controlled by the treasury's cold wallet, whose key is kept offline. Sending money to another address is always your own action, confirmed by you in the app and signed by your own wallet. These are safeguards, not a guarantee. A trading permission still carries risk: if our systems failed or were compromised, trades you did not want could be placed in your name, and an attacker could try to use the permission to move your money out; see the Risk Disclosure. Keep in these places only what you mean to trade with, and remove the permission when you do not need it. While you hold an open leveraged position, the margin behind it sits in your Lighter account and you rely on that venue; a prediction ticket sits in your Polymarket wallet and you rely on that venue. Accounts opened before 18 September 2026 used a retired ledger model, where deposits were swept from an Agent Wallet into the treasury and recorded as a dollar balance in our ledger. That model was closed on 22 September 2026: its accounts were settled, nothing is deposited, traded or withdrawn through it any more, and its records are kept only as history.
5. What Onagi is, and what it is not
Onagi is software that gives you one account and one balance from which to reach markets operated by others: token swaps routed through Pons and Uniswap pools (v2, v3 and v4) on Robinhood Chain, perpetual futures through Lighter, and prediction markets sourced from Polymarket, including five minute up and down rounds. Money is brought in from other networks, or converted from ETH already in your wallet, through Relay (Bring). The dollar token used throughout is USDG.
Onagi is not a broker, dealer, exchange, bank, money transmitter, custodian for regulatory purposes, fiduciary, trustee, investment adviser, portfolio manager or clearing house, and does not hold itself out as any of them. We do not owe you a duty of best execution, suitability or care beyond what these Terms say and what the law requires of us regardless of contract.
Nothing on the Service is advice. No page, chart, ranking, market list, agent strategy, model output, chat reply, Telegram message, docs page or announcement is investment, financial, legal, accounting or tax advice, or a recommendation to buy, sell or hold anything. Assistant and agent features are automated systems; they can be wrong, out of date or misleading. Decisions you take are yours. Get independent professional advice if you need it.
6. Agent trading
You may let an autonomous agent trade the money in your Autopilot pocket, a separate account under your own Lighter account. If you do:
- You choose the budget: the agent trades only the money in your Autopilot pocket, with one fixed strategy that you do not configure. The agent chooses what to trade, when, at what size and at what price, within that strategy's limits and its list of markets.
- The agent is automated. It trades without a human reviewing each order, and it can place, change and close positions while you are asleep or offline.
- The agent can lose money in any market, including all of it. Backtested and past results are not a forecast. Stops, circuit breakers and other safety rules can fail to protect you in a fast market, a gap, an outage or a liquidity failure.
- You can stop the agent at any time on the Agent page, or in the Telegram bot by confirming a stop card; the agent switch itself is changed on the Agent page. Stopping it stops new positions and closes the positions it opened; positions may be closed at prevailing prices, which may be worse than you hoped.
- We may change, pause, resize or retire the agent strategy, a model or a market at any time, including because it stopped working. Where the strategy is retired we will say so.
Orders placed by the agent are your orders. Fees apply to them exactly as they apply to orders you place yourself.
7. Holder rewards
Holder rewards are USDG transfers that we may make, at our discretion, from a pool funded by part of the platform's fees, to wallets that meet the eligibility conditions at a reward snapshot, sent on Robinhood Chain to the holder's own wallet. A reward is not a deposit, not a loan and not a claim against us. The rules are:
- Eligibility is a condition, not a right. Today, eligibility means holding at least 10,000 ONAGI in a wallet that has signed in to Onagi at least once. To count in an hourly round, a wallet must have held its tokens since the previous hourly snapshot: we use the smaller of its balance now and one hour ago, for the threshold and for the share. We may change the threshold, the sign-in requirement, the size of the pool, the schedule and the exclusions at any time.
- Network cost. The network fee of the transfer is taken out of the payment. If a wallet's share, together with any earlier unpaid amount and less that fee, comes to under $0.50, nothing is sent in that cycle and the amount stays recorded for that wallet for a later cycle.
- We may reduce, withhold or suspend rewards at any time, for any wallet or for all wallets, including where we suspect abuse, where the treasury cannot cover a cycle, or where continuing would be unlawful.
- Errors. A reward sent in error, because of a bug or a bad data feed, or obtained through conduct described in section 11, may be set off against future rewards to the same wallet.
- A reward is not a dividend, interest, a return on investment or an entitlement arising from holding the ONAGI token. It is sent at our discretion and it depends on the platform collecting fees. No fees means no rewards.
- Before 18 September 2026. Rewards made before that date were recorded as a balance in our ledger instead of being sent to a wallet. That ledger was closed on 22 September 2026, as section 9 describes, and its records are kept only as history. Every reward since 18 September 2026 is sent to the wallet itself; once sent, nothing about it is locked or set to expire.
The published fee allocation, currently 50% to holder rewards, 25% to the treasury and 25% to buyback and burn, is a description of how we intend to run the platform. It is not a promise of any amount to any person. Every wallet in that flow is public on Robinhood Chain and listed in the docs, so anyone can check the amounts on the explorer at any time. All rights reserved: we may change the allocation, the fees, the rules and any feature of the platform at any time.
8. Fees
Every trade placed through Onagi pays our fee. There are no exemptions and no exceptions, for anyone, including trades placed by an agent and trades placed with a reward. Do not rely on any statement, from any source, that promises you a fee exemption; we do not grant them and no employee, partner or promoter can. A close carried out by a venue itself, such as a liquidation or an auto-deleverage, is not a trade placed through Onagi and carries only the venue's fees.
The rate that applies is shown on the trading ticket before you confirm, and the current rates are listed in the docs; an order card prepared in chat or in the Telegram bot uses the same rates. Venue fees, funding payments, spreads and slippage are separate from our fee and are charged by the venue or the market, not by us.
Network fee. Network gas is paid to the network. When we supply the gas for a send, a move between your pockets or a swap, so that you do not need to hold ETH, we collect a network fee in USDG from your wallet: the dollar value of the ETH we add for that gas, plus 3% to cover converting it, rounded up to the cent.
We may change our rates, add fees for new products, or introduce or change minimum order sizes, minimum deposit and withdrawal amounts and similar limits. Changes are published on the site before they take effect, and they apply to trades placed after that. Continuing to trade after a change means you accept it.
9. Your money
- Your wallet. Money you want to trade is sent by you, as USDG on Robinhood Chain, to your own wallet. Sending a token or a network we do not support to any address may result in permanent loss of those funds, and we are under no obligation to recover them.
- Pockets. At your request we move money between your wallet, your Lighter account and your Polymarket wallet, each in your wallet's name, using the venues' own deposit and withdrawal routes and bridges. Those moves cost network fees, which are deducted, and take the time the venue and the network take; we do not control either.
- No withdrawals from us. We never hold your money, so there is nothing to withdraw from us; you move a pocket back to your wallet and dispose of it as you like. Apart from our fees, we do not send your money to any address other than your own wallet and your own venue accounts; sending anywhere else is always your own action, confirmed by you in the app and signed by your own wallet.
- Permission. The agent's permission to trade and to move money between your pockets is granted by you and can be removed by you at any time on the Agent page. Removing the permission stops new trades and cancels waiting orders; the autopilot closes its positions. Your own open positions keep their stop and target and you can still close them; Onagi's trading key for your Lighter account is deleted once they are closed.
- Retired model. The ledger model used before 18 September 2026 was closed on 22 September 2026. Its accounts were settled and nothing is deposited, recorded or withdrawn through it any more; its records are kept only as history.
- Correct records. We may correct ledger and history entries that are wrong, including entries created by a bug, a duplicate, a bad price feed or a failed settlement. We will tell you when we do this to your account.
- No interest. Money in your pockets earns no interest from us. Funding received on perpetual positions is a market payment, not interest paid by us.
10. Third party venues, data and services
Onagi routes to, and depends on, systems operated by other people. These include Pons and Uniswap pools (v2, v3 and v4), Lighter, Polymarket, Relay for bringing money in, Privy for authentication and wallet signing, Cloudflare for delivery and protection, chain node providers, price and chart data providers, and Telegram if you link it.
We do not control them and we do not underwrite them. Without limiting section 16, we are not liable for loss caused by:
- an outage, a halt, a delay, a maintenance window, a rate limit or a rule change at any venue, node or data provider;
- a liquidation, an auto-deleverage, a forced closure or a settlement decision made by a venue;
- slippage, spread, price impact, a stale or wrong quote, or a failed, stuck, reverted or reordered transaction;
- a chain reorganisation, a fork, a congestion event, a bridge failure, a validator or sequencer failure, or a change to the underlying chain;
- a bug, an exploit, an oracle failure, a governance action or a rug in a smart contract we did not write;
- the resolution of a prediction market by its operator, including a resolution you consider wrong.
Where a venue's own terms apply to activity you carry out through Onagi, those terms apply to you as well.
11. What you must not do
You must not, and must not allow anyone acting through your account to:
- manipulate a market, including spoofing, layering, ramping, marking the close, or entering orders intended to create a false price or a false impression of volume;
- wash trade, self-cross, or trade with an account you also control or coordinate with, whether on Onagi or across Onagi and another venue;
- abuse the rewards programme in any way, including creating or controlling multiple accounts to farm rewards, splitting holdings to obtain more than a proportional share, or using borrowed or flash-loaned tokens to appear eligible at a snapshot;
- exploit a bug, a pricing error, a stale quote, a race condition or a misconfiguration, or continue to trade after noticing one instead of reporting it;
- use bots, scrapers or automated tools against the site or an API in a way that degrades the Service, evades a rate limit or a safety control, or places orders at a volume the Service was not designed for;
- use funds that come from crime, fraud, sanctions evasion, tax evasion or any other unlawful source, or use the Service to launder money or finance terrorism;
- circumvent a geographic restriction, an account suspension or any other block;
- impersonate anyone, use another person's wallet or login without authority, or sell or transfer your account;
- attack the Service, including probing, penetration testing without our written permission, denial of service, injecting code, or attempting to gain access to systems, keys or data you are not entitled to;
- copy, resell, redistribute or create a competing service from the Service, its data or its interface, except as the law allows regardless of contract.
If you find a security problem, tell us at [email protected] before you use it, and do not take funds that are not yours.
12. Our rights
We may, at any time and without prior notice where prior notice is not practical or would defeat the purpose:
- suspend or restrict your access to the Service, in whole or in part;
- halt trading, cancel or refuse orders, close positions, or disable an agent, a market or a product;
- pause moves between your pockets, or a send you request in the app, while we look into a security, compliance or legal concern;
- freeze an account completely, which stops sends and moves between pockets, new positions and the closing of positions you already hold, where we reasonably suspect the account holds or handles stolen funds, is linked to a sanctioned person or address, or is otherwise implicated in an on-chain theft or exploit. While an account is frozen you cannot act on an open position, and that position can move against you or be liquidated;
- reduce, withhold or suspend rewards, as described in section 7;
- close an account, and end this agreement, where you breach these Terms, where we reasonably suspect abuse or unlawful activity, where we are required to by law or by a court or regulator, or where continuing would expose us to unacceptable legal, sanctions or security risk;
- change, add to, limit or discontinue any part of the Service, including markets, the agent strategy, rewards, fees, limits and the Service as a whole.
We will act reasonably, and we will tell you what happened where we are able to. Except as section 16 provides, we are not liable to you for loss caused by an action taken under this section. If we close your account, your money is still in your own wallet and venue accounts, and where we can, we release the pockets to your wallet.
We may also stop offering the Service entirely. If that happens we will publish notice and release every pocket to its wallet.
13. The ONAGI token
About the ONAGI token:
- It is not an investment product, a share, a bond, a unit in a fund, a deposit, a loan, a derivative or a claim of any kind against us or against the platform's revenue or assets.
- It carries no rights: no ownership, no voting right, no dividend, no interest, no right to profits, no right to repayment, no right to any distribution and no right to have the platform continue to exist or to keep any particular rule, including the rewards programme and the fee allocation.
- Holding it may make you eligible for holder rewards under section 7 while we choose to run that programme. Eligibility is discretionary and revocable.
- Its price is set by the market and can fall to zero. Buying, selling and holding it is your own decision and your own risk.
- We make no undertaking about liquidity, listing, buyback volume, burn volume or price, and statements about buyback and burn describe how we intend to operate, not a guaranteed amount or schedule.
Nothing on the Service is an offer or solicitation to buy or sell a security, or an offer in any jurisdiction where such an offer would be unlawful.
14. Intellectual property
The Service, including its software, interface, design, text, graphics, brand, logos and the compilation of data we publish, belongs to us or to our licensors and is protected by intellectual property law. You get a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose, and nothing more.
You may not copy, modify, reverse engineer, decompile, frame, mirror, scrape at scale, or create derivative works from the Service, except where the law gives you that right despite this clause. Third party data displayed through the Service belongs to its owners and is used under their terms.
Onagi is an independent project. It is not affiliated with, endorsed by or sponsored by Robinhood Markets, Inc. or any of its affiliates. Robinhood Chain is named on Onagi only as the public blockchain network Onagi runs on. Robinhood, Lighter, Polymarket, Uniswap, Pons and other third party names and marks belong to their owners.
If you send us feedback, ideas or bug reports, you grant us a free, worldwide, perpetual right to use them without any obligation to you.
15. No warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, conditions and representations of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, satisfactory quality, title, non-infringement, accuracy, and any warranty arising from a course of dealing or usage of trade.
In particular we do not warrant that the Service will be uninterrupted, timely, secure or error free; that prices, charts, balances, model outputs or published figures are accurate, complete or current; that orders will be executed, executed at any price, or executed at all; that agent trading, safety rules, stops or circuit breakers will work as intended in every condition; or that defects will be corrected.
Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply to you only to the extent permitted, and nothing in these Terms removes a right you have as a consumer that cannot be removed by agreement.
16. Limitation of liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, special, punitive or consequential loss, or for loss of profit, loss of revenue, loss of opportunity, loss of anticipated savings, loss of goodwill, trading loss, loss of the value of any digital asset, or loss or corruption of data, however caused and whether or not we were told such loss was possible.
- Our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms is limited to the total fees you actually paid to Onagi in the twelve months before the event giving rise to the claim. Where you paid no fees, our aggregate liability is limited to one hundred US dollars.
- We are not liable for loss arising from any of the third party, market, chain or venue events listed in section 10, from your own error, from loss of your keys or login, or from action we take under section 12.
These limits apply to every legal theory, in contract, in tort including negligence, under statute or otherwise, and they survive the end of this agreement.
An honest note. Some jurisdictions do not allow the exclusion or limitation of liability for death or personal injury, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for certain consumer rights. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Where a limit above is held unenforceable, it applies to the maximum extent that is enforceable, and the rest of this section stands.
17. Indemnity
You will indemnify and hold harmless Onagi, its operating entity, its directors, officers, employees, contractors, agents and service providers against any claim, demand, loss, liability, cost, fine, penalty and reasonable legal expense arising out of or relating to: your use of the Service; anything done through your account, including by an agent or a linked Telegram account; your breach of these Terms or of any applicable law; your tax obligations; and any claim by a third party connected with your activity on the Service.
We may take control of the defence of any claim covered by this section at your cost, and you will cooperate with us. This section does not require you to indemnify us for our own fraud or wilful misconduct, or where the law does not permit it.
18. General
- Force majeure. We are not in breach of these Terms, and are not liable, for a failure or delay caused by something beyond our reasonable control, including war, civil unrest, terrorism, natural disaster, epidemic, power or network failure, internet or infrastructure failure, a chain halt, fork or reorganisation, a failure at a venue, node, cloud or data provider, cyberattack, a change in law, or an act of a government, court or regulator.
- Assignment. You may not assign or transfer your rights or obligations under these Terms, or your account, without our written consent. We may assign or transfer ours, in whole or in part, including to a successor entity or in a reorganisation, and we may perform any obligation through an affiliate or contractor.
- Severability. If a provision of these Terms is held invalid or unenforceable, it is modified to the minimum extent necessary to make it enforceable, or if that is not possible it is severed. The rest of the Terms remain in force.
- No waiver. If we do not enforce a right, we do not waive it. A waiver is only effective if we give it in writing, and it applies only to the occasion for which it was given.
- No third party rights. Except for the persons named in section 17, no one other than you and us has any right to enforce these Terms.
- Entire agreement. These Terms, with the Privacy Policy and the Risk Disclosure, are the entire agreement between us about the Service and replace anything said or written before, including anything said on social media, in a chat, in a community channel or by a promoter. You confirm that you are not relying on any statement outside these documents.
- Notices. We may give notice by publishing it on the site or in the app, or by sending it to an email address or a linked account associated with your account. You give notice to us at [email protected].
- Language. These Terms are written in English. A translation is provided for convenience only; if there is a conflict, the English version governs.
- Survival. Sections 5, 10, 11, 13, 14, 15, 16, 17, 18, 20 and any other provision that by its nature should survive, survive the end of this agreement.
19. Changes to these terms
We may change these Terms. When we do, we will update the date at the top of this page and publish the new version here. Where a change materially reduces your rights or increases your obligations, we will give notice on the site or in the app before it takes effect, and unless the law or a regulator requires it sooner, that notice will be at least 14 days.
Changes take effect on the date stated. If you keep using the Service after that date, you accept the new version. If you do not accept it, stop using the Service and switch the agent's permission off; your money remains in your wallet and venue accounts.
20. Governing law and dispute resolution
These Terms, and any dispute or claim arising out of or in connection with them or the Service, including a non-contractual one, are governed by the law applicable to Onagi, without regard to its conflict of law rules.
Talk to us first. Before starting any formal proceeding, you agree to contact us at [email protected] with a description of the dispute and the outcome you want, and to allow 30 days for us to try to resolve it.
If it is not resolved, any dispute is finally settled by binding arbitration under the arbitration rules notified to you when the dispute is raised. The proceedings are in English, before one arbitrator. Judgment on the award may be entered in any court with jurisdiction.
Individual claims only. You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this paragraph is held unenforceable in whole or in part for a particular claim, that claim is brought in court and the rest of this section still applies to every other claim.
Either of us may seek urgent injunctive relief from a court to protect intellectual property or to prevent unauthorised access. This section does not remove a right you have, as a consumer, to bring proceedings in the courts of your own country or to rely on the mandatory law of that country where that right cannot be removed by agreement.
